END-USER LICENSE AGREEMENT

Interpretation and Definitions

Interpretation

Capitalized terms in this Agreement have defined meanings as set forth below. The following definitions shall apply regardless of whether they appear in singular or plural.

Definitions

  • Agreement: This End-User License Agreement between You and Grand Cannabis regarding the use of the Application.
  • Application: The software program provided by Grand Cannabis, accessible through an app store and downloaded onto a device, named “Grand Cannabis App.”
  • App Store: The digital distribution platform where the Application is made available, including Apple App Store or Google Play Store.
  • Company (referred to as either “Grand Cannabis,” “We,” “Us,” or “Our” in this Agreement): Grand Cannabis, 217 Broad St E. Dunnville, ON, N1A 1G1.
  • Content: Any materials, text, images, or other information that can be uploaded, shared, or otherwise made available by You within the Application.
  • Country: Canada.
  • Device: Any digital device, such as a mobile phone or tablet, capable of accessing and running the Application.
  • Third-Party Services: Any services, data, content, or applications provided by third parties, which may be accessible within the Application.
  • You: The individual or entity using the Application.

 

Acknowledgment

By downloading, installing, or using the Application, You agree to abide by this Agreement. If You do not agree to this Agreement, do not download or use the Application.

This Agreement is a legally binding document between You and Grand Cannabis and governs Your use of the Application.

This Agreement is solely between You and Grand Cannabis. The App Store is not a party to this Agreement and is not responsible for the Application’s content. However, the App Store has the right to enforce this Agreement against You as a third-party beneficiary.

 

License

Scope of License

Grand Cannabis grants You a limited, revocable, non-transferable, non-exclusive license to download, install, and use the Application on Your Device solely for Your personal, non-commercial use, subject to the terms of this Agreement.

License Restrictions

You agree not to:

  1. Rent, lease, sell, sublicense, distribute, or otherwise make the Application available to third parties.
  2. Copy or use the Application for any purpose other than as allowed by this Agreement.
  3. Modify, decompile, reverse-engineer, or create derivative works of any part of the Application.
  4. Remove any proprietary notices or labels from the Application.

 

User Content

Content Responsibility

You are solely responsible for any Content You submit or share via the Application. You agree not to post or transmit Content that:

  1. Is unlawful, defamatory, abusive, offensive, or otherwise objectionable.
  2. Violates any intellectual property rights of third parties.
  3. Contains spam, malware, viruses, or any malicious software.
  4. Violates any applicable privacy or data protection laws.

Grand Cannabis reserves the right, but is not obligated, to remove or restrict any Content that violates this Agreement.

 

Intellectual Property

The Application, including its design, code, and any related intellectual property rights, is owned by Grand Cannabis and/or its licensors. This Agreement does not grant You any rights to the Application beyond what is expressly granted herein.

 

Privacy Policy

Updates and Modifications

Modifications to the Application

Grand Cannabis reserves the right to modify, suspend, or discontinue any feature of the Application at any time without notice.

Updates

From time to time, Grand Cannabis may provide updates, including patches, bug fixes, and new features. These updates may alter or remove certain functionalities. You agree that Grand Cannabis has no obligation to provide any updates or to continue supporting particular functionalities.

 

Termination

This Agreement is effective until terminated by either party. Grand Cannabis may terminate this Agreement, at its sole discretion, for any reason, including for violations of this Agreement. Upon termination, You must cease all use of the Application and delete all copies from Your Device.

 

Disclaimer of Warranties

The Application is provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by applicable law, Grand Cannabis disclaims all warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, or non-infringement. Grand Cannabis does not guarantee that the Application will be uninterrupted, secure, or error-free.

 

Limitation of Liability

To the fullest extent permitted by law, Grand Cannabis shall not be liable for any damages arising from Your use of or inability to use the Application, including any indirect, incidental, special, consequential, or punitive damages. Grand Cannabis’s liability under this Agreement will be limited to the amount paid by You for the Application, if any.

 

Indemnification

You agree to indemnify and hold harmless Grand Cannabis, its officers, employees, and agents from any claims, damages, or liabilities arising from Your use of the Application, violation of this Agreement, or infringement of third-party rights.

 

Governing Law and Dispute Resolution

This Agreement is governed by and construed in accordance with the laws of the Country, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in Canada.

 

Severability

If any provision of this Agreement is deemed invalid or unenforceable, it shall be modified to achieve the objectives of the original provision as closely as possible under applicable law, and the remaining provisions will continue in full force and effect.

 

Entire Agreement

This Agreement constitutes the entire agreement between You and Grand Cannabis regarding the Application. Any additional terms provided at the time of service or product use are also incorporated into this Agreement.
